The most mature and colorful “dumpling” - Dmitry Sokolov born in the small town of Pervouralsk, not far from Yekaterinburg. Growing up, I was a mischievous person - educators and teachers often called my parents to the carpet. But the guy always hid in amorous matters.

In kindergarten, he liked the princess with curls and pink bows. But she preferred another boy. Sokolov fought with his opponent, but could not fight off his sweetheart. Unrequited love happened to Dima in the ninth grade. To buy the girl a huge bouquet of her favorite roses, he went to work on a collective farm. Then I came to her house, but my mother opened the door. Dima was confused, asked to hand over the flowers, and he himself - to tear them up. Nothing worked out with that young lady: she married Sokolov’s friend.

And only at the institute the next love that overwhelmed Dmitry turned out to be mutual. At that time, student construction teams were popular: the guys went to collective and state farms, helped the locals in any way they could, and held concerts in the evenings. There he met his future wife. The joker and ringleader nicknamed Falcon quickly attracted Natalya's attention. The candy-bouquet period did not last long - they soon got married, a son, Sasha, was born, and ten years later, a daughter, Anechka. But her husband’s fanatical passion for KVN began to irritate Natalya: it did not bring in a permanent income, and at the same time it took up a lot of time.

“Natasha is a wonderful woman,” sighs Sokolov’s mother, Irina Aleksandrovna. - When Dima became interested in dumplings, all worries about the house and children fell on her shoulders. It was very difficult for Natasha, and she put him before a choice. She wanted her husband to always be there, and Dima to constantly travel. And they parted. The divorce was difficult for Natalya, but, having swallowed the insult, she did not stop Dima from meeting with the children. Now they are friends. Natasha has never established her personal life - it seems to me that she is still worried.

But Sokol did not stay single. In 2006, at a meeting of KVN student teams in Yekaterinburg, I met a young member of the group “Irina Mikhailovna”. Ksenia Li(she turned out to be 23 years younger) performed on stage, and Dmitry sat on the jury as Kaveen’s guru. And it started to spin... Their relationship moved into a serious phase after they spent the New Year holidays together in Sochi. - Sokol bought Ksyukha a fur coat, a car, a house! - says their mutual friend Vladimir Kovalev. “But the main thing is that he, like no one else, supported Ksyusha during the most difficult period for her: since childhood she suffered from progressive deformation of her legs. It got to the point that the girl could not walk normally and moved on crutches. It was necessary to have an operation. Ksyukha was worried - she couldn’t make up her mind, and she needed a lot of money for rehabilitation. But Dima managed to persuade her. He was there all the time, massaging her legs at night to relieve the pain. Agree, not everyone is capable of this! The wedding of Dima and Ksyusha took place on September 8, 2011, as befits KVN members, noisily and cheerfully. And in October 2012, the young wife gave Sokolov a daughter, Mashenka.

For the sake of the children, Rozhkov compromised with his wife

The same thing happens, for example, with musical groups. There is no legal status as a “musical group”. The group is a creative team, an association within the framework of common activities. Guys just get together and do something. At the initial stage, it is unknown whether the musicians will remain playing in the garage or start earning money, so the relationship between them is not formalized legally.

From this point of view, the important moment is when the first money appears in the project when it comes to monetization. This is the transition of the team from simple pastime to commercial activity. And this is the stage that many creative teams miss and make mistakes.

The moment money appears in a project is a fundamental factor that makes changes and affects organizational relationships. Because the question immediately arises: who is the formal leader? At this stage, the ideas of participants in formations that were initially informal in nature may diverge.

An example is the Ekaterinburg group Do-up, which at a certain stage broke up. There was part of the team with Alexander Bogomolov, who was the founder, musician, song creator, etc. And there was the second part of the group - Vadim Shakurov, who was a PR manager and dealt with financial issues. Both considered themselves leaders of the project, and each had reasons for this. Everyone had their own truth, but there were no clear agreements. When the group broke up, Shakurov lured away the vocalist and used his resources as the group's contact representative to switch the money flow to himself.

Every time everything happens the same way; it is important for creative teams not to miss the moment of transition to commercial activity and to clearly build relationships between project participants. From an organizational point of view this means that the relationship needs to be formalized by creating a joint business company, most often this is a limited liability company.

Returning to the “Ural dumplings”, it should be noted that they accomplished this point - they created LLC "Creative Association "Ural Dumplings", where, according to the formal distribution of roles, each team member received an equal share. That is, how they are used to interacting informally, such specifics of relations are reflected in the charter of the society.

But the problem with Pelmeni is that the organization was created simply as a formality. As an entity that has a current account where money from concerts or other activities can be received. They committed a typical mistake: they underestimated the importance of elaborating the provisions of the constituent documents.

Usually, due to insufficient legal literacy, people look on the Internet how much it costs to register an LLC, see a small cost and expect exactly that amount. The society is registered, people are given a charter, but no one really reads it. The charter is the main formalized document that regulates the relations of business partners, and therefore requires the most careful study. In the case of “Ural dumplings”, it included mutually exclusive provisions. It is obvious that the team members did not bother to read the document and understand what was written there. Therefore, they did not make sure that the charter stated how participants should act in certain situations.

All creative teams that plan to engage in commercial activities can be given practical advice: they need to devote maximum time to reflect the actual agreements on conducting a joint business in the constituent documents. The fact is that the current corporate legislation is very flexible, and most of the parameters of the relationship can be changed. This also applies to the distribution of profits between participants. It is not at all necessary that profits be distributed among the participants according to the shares prescribed in the charter. It can be distributed according to other parameters.

Also, corporate legislation provides such an important tool for regulating relations between business partners as corporate agreement. Since the charter cannot reflect the dynamics of development of relations between company participants depending on the occurrence of certain circumstances, this instrument allows you to agree in advance on how the corporate rights of participants will be implemented. For example, they may agree to vote in a certain way at a general meeting of company participants, provide for the obligation to sell a share upon the occurrence of certain circumstances, etc. Unlike the charter, the information contained in the corporate agreement is not disclosed anywhere and is confidential. Ural Dumplings did not have such an agreement.

But in most cases, a corporate agreement is not enough to regulate the relations of business partners. First, running a joint business is often not limited to using a single LLC. Secondly, there are things that are not regulated by law. Therefore, instead of verbal agreements, it can also be recommended to conclude written partnership agreement, in which it is possible to simulate various situations and determine which actions of partners will be correct and fair in these situations. For example, to determine the goals of the business, the principles on which entrepreneurs will conduct joint activities, distribute roles and areas of responsibility, determine the principles of profit distribution, and establish what will happen if any goal is achieved.

Unlike a corporate agreement, violating a partnership agreement will not entail legal consequences. But this does not mean that there will be no consequences at all. Thus, in certain situations, the court may recognize a violation of partnership agreements as an abuse of law, and this will be the basis for the recovery of damages caused. And if there is no such agreement, each partner will proceed from his own idea of ​​justice, and this will create fertile ground for conflicts. This is exactly what happened with “Ural dumplings”.

In my opinion, it was the lack of clear agreements that was the main reason for their conflict, because Sergei Netievsky did not commit any illegal actions. Working as director of a joint LLC "Creative Association "Ural Dumplings", he did not violate the rights of his teammates. However, the rest of the team accused Sergei of dishonesty. If the parties to the conflict had entered into a partnership agreement in advance, then it would have been possible to clearly establish whether the specific agreements of the team members were violated and whether there was in fact any basis for the accusations made. Since there was no such agreement in this case, the accusations made by teammates against Sergei personally seem incorrect to me.

In general, all the tools necessary to regulate relations between business partners, including creative teams, have long been invented. They are actively used in the West, but in Russia, unfortunately, they often receive little attention.

Already in August, the usual lineup of artists will go on a southern tour: Andrey Rozhkov, Dmitry Sokolov, Dmitry Brekotkin, Sergey Isaev, Yulia Mikhalkova, Sergey Kalugin, Vyacheslav Myasnikov and Maxim Yaritsa. And in September, the Ural Dumplings Show will traditionally open the new season with concerts in Yekaterinburg. On September 14-15, the Youth Palace will show a program dedicated to the school, “ZHI-SHI have arrived.”

All the “dumplings” that viewers are accustomed to seeing in television versions of concerts will appear on stage. And literally in a week, Shaw will “move” to Moscow to film new programs for the STS TV channel. On September 20-21, Muscovites will see the resort program “Beach Chic” (with this concert “Ural Dumplings” closed the creative season in Yekaterinburg in May). And on September 22-23, the filming of the program “Zhi-Shi has arrived” will take place.
